Scope
These Terms of Service apply to all proposals, contracts, deliverables, service engagements and commercial interactions carried out by Alpha Impact, unless otherwise agreed in writing. Use of the website does not replace the contractual framework of each project, but complements the public information provided by the company.
Services
Alpha Impact provides consulting, implementation and production services in artificial intelligence, automation, web applications, website creation, digital marketing, photography, video and content production. The scope, timelines, deliverables and responsibilities of each party will be defined in a proposal, quote or project-specific agreement.
The client agrees to provide the information, access, approvals and materials required for the proper execution of the project within agreed deadlines. Delays in those approvals may affect delivery schedules.
Payments
Fees, payment stages and invoicing terms are defined in the relevant proposal or contract. Unless otherwise stated, partial payments or an initial deposit may be required before work begins, with the remaining balance due according to project milestones, recurring retainers or final delivery.
In case of late payment, Alpha Impact may suspend work, deliveries, access or support until the situation is regularised, without prejudice to any legal rights available.
Intellectual property
Unless otherwise agreed in writing, the intellectual property in methodologies, frameworks, templates, reusable base code, processes, prompts, internal documentation and Alpha Impact pre-existing assets remains the property of the company. Final deliverables created specifically for the client will be transferred or licensed under the terms defined in the relevant proposal.
The client warrants that it holds the rights required for any materials supplied to Alpha Impact for use in the project, including text, imagery, trademarks, data and other content.
Limitation of liability
Alpha Impact undertakes to provide services with diligence, technical competence and professional best practices. However, we do not guarantee specific commercial outcomes, search rankings, exact lead volumes or performance dependent on external factors such as third-party platforms, algorithm changes, client infrastructure or operational decisions outside our control.
To the maximum extent permitted by law, Alpha Impact's liability for direct damages related to any project is limited to the amount effectively paid by the client for that project, except in cases of wilful misconduct or mandatory legal obligation to the contrary.
Applicable law
These Terms of Service are governed by Portuguese law. In the event of a dispute, the parties will first seek an amicable resolution and, failing that, the legally competent courts in Portugal will apply.
